Terms of Service

1. Acceptance of Terms

By accessing or using the YouBand platform at youband.app and this.band (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

YouBand LLC ("YouBand," "we," "us," or "our") reserves the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least **18 years of age** to use YouBand. By creating an account, you represent that you are 18 or older. We reserve the right to terminate accounts of users found to be under 18.

3. Your Account

3.1 Registration

You may sign in to YouBand using Google OAuth or Microsoft OAuth. You are responsible for maintaining the security of your account and for all activity that occurs under your account.

3.2 Username

Your username forms your public profile URL (youband.app/[username]). Usernames are assigned during onboarding and may not be changed without contacting YouBand support. We reserve the right to reclaim usernames that are inactive, misleading, or violate these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any conduct we determine to be harmful to the Platform or its users.

4. Public Profiles

4.1 Your Profile is Public

When you create a YouBand profile, information you add — including your stage name, photo, bio, instruments, genres, bands, videos, social links, and tip link — is visible to anyone on the internet at youband.app/[username].

4.2 Accuracy

You are responsible for the accuracy of information on your profile. Do not impersonate another musician, person, or entity.

4.3 Profile Content

You may not post content on your profile that is:

  • False, misleading, or deceptive
  • Defamatory, harassing, or abusive toward others
  • Sexually explicit or obscene
  • In violation of any applicable law

5. User Content

5.1 Your Content

You retain ownership of content you submit to YouBand, including your profile photo, biography, and any other information you provide ("User Content").

5.2 License to YouBand

By submitting User Content, you grant YouBand a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your User Content solely for the purpose of operating and promoting the Platform. This license ends when you delete your content or account.

5.3 Content Standards

You are solely responsible for your User Content. YouBand does not review all content and does not endorse any User Content. We reserve the right to remove content that violates these Terms.

5.4 Copyright and Content Rights

You represent and warrant that you own or have the necessary rights, licenses, and permissions to submit all User Content, including but not limited to:

  • Profile photos and band photos
  • Imported content (setlists, song lists, spreadsheets)
  • Any lyrics, notes, or other text you add to the Platform

YouBand does not encourage or condone uploading copyrighted lyrics or other protected content without authorization. YouBand is not liable for any copyright infringement arising from User Content you submit, including content imported via third-party tools, spreadsheets, or AI-assisted import features.

6. Band Ownership and Collaboration

6.1 Band Ownership

The user who creates a band on YouBand is the band's owner and administrator ("Band Admin"). The Band Admin has full control over the band, including the ability to add and remove members, manage setlists, and delete the band.

6.2 Admin Rights

Band Admins may:

  • Add and remove band members
  • Promote members to admin role
  • Edit or delete setlists, events, and songs
  • Delete the band entirely

6.3 Member Rights

Band members may use features granted to them by the Band Admin. Members do not have the right to delete the band or remove other members unless granted admin status.

6.4 Band Owner Departure

If a Band Admin leaves the band or deletes their YouBand account, ownership of the band may be transferred to another admin if one exists. If no other admin exists, the band and its associated data may become inaccessible. YouBand is not responsible for data loss resulting from a Band Admin leaving or deleting their account.

6.5 Shared Content

Setlists, songs, and events created within a band are shared resources. Any Band Admin may edit or delete shared content. YouBand is not responsible for disputes between band members over shared content.

7. Tip Links and Payment Transactions

7.1 Third-Party Payment Services

YouBand allows you to display a payment link on your public profile (e.g., Venmo, PayPal, Cash App, Mercado Pago, PicPay) so that fans may send tips directly to you.

7.2 YouBand is Not a Payment Processor

**YouBand does not process, facilitate, hold, or take commission from any transactions conducted through tip links.** All transactions occur solely between the sender and your chosen payment provider. YouBand has no involvement in, visibility into, or responsibility for any such transactions.

7.3 Your Responsibility

By adding a tip link to your profile, you:

  • Confirm that your payment link is accurate and belongs to you
  • Agree to comply with your payment provider's terms of service
  • Acknowledge that YouBand is not responsible for any payment disputes, failed transactions, fraud, or other issues arising from tip transactions
  • Agree to resolve any payment issues directly with your payment provider

7.4 Indemnification for Payment Issues

You agree to indemnify and hold YouBand harmless from any claims, losses, or damages arising from tip transactions conducted through your profile.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Platform
  • Scrape, crawl, or harvest data from the Platform without our written consent
  • Use the Platform to send spam or unsolicited communications
  • Upload malicious code, viruses, or any software intended to damage the Platform
  • Impersonate any person or entity
  • Interfere with or disrupt the Platform or its servers
  • Upload or import content you do not have the right to use

9. Intellectual Property

9.1 YouBand Content

The YouBand name, logo, design, and all Platform content created by YouBand are owned by YouBand LLC and protected by intellectual property laws. You may not use our branding without prior written permission.

9.2 Song Data

YouBand's canonical song library is compiled from publicly available sources. Song titles and artist names are factual information. Album art and Spotify data are used in accordance with their respective providers' terms.

10. DMCA Copyright Policy

YouBand respects the intellectual property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA).

10.1 Reporting Infringement

If you believe that content on YouBand infringes your copyright, please send a written notice to hello@youband.app containing:

1. A description of the copyrighted work you believe has been infringed 2. A description of the content on YouBand that you believe infringes your copyright, including its URL or location 3. Your contact information (name, address, phone number, email) 4. A statement that you have a good faith belief that the use is not authorized by the copyright owner 5. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf 6. Your electronic or physical signature

10.2 Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice to hello@youband.app. We will process counter-notices in accordance with DMCA requirements.

10.3 Repeat Infringers

YouBand reserves the right to terminate accounts of users who are found to be repeat infringers.

11. Service Availability

11.1 No Uptime Guarantee

YouBand is provided on an "as available" basis. We do not guarantee any specific level of uptime or availability. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

11.2 Maintenance

We may perform scheduled or unscheduled maintenance at any time, which may result in temporary interruption of the Platform. We will endeavor to provide advance notice of scheduled maintenance where practicable.

11.3 Beta Features

YouBand may offer features that are in beta or early access. These features are provided as-is and may be modified, removed, or subject to additional terms at any time without notice. Beta features may contain bugs or errors.

11.4 Data Backup

While we take reasonable steps to protect your data, we recommend that you maintain your own backups of important content. YouBand is not liable for any loss of data resulting from Platform outages, errors, or termination of service.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUBAND DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOUBAND LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOUBAND'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless YouBand LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your User Content, your violation of these Terms, or any copyright infringement arising from content you upload or import.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal legal claim, you agree to contact YouBand at hello@youband.app and attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving notice.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Forsyth County, Georgia, United States, or via video conference at either party's election.

15.3 Class Action Waiver

**You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.** If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial and to participate in a class action lawsuit.

15.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15.5 Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Forsyth County, Georgia.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform. Continued use of YouBand after changes are posted constitutes acceptance of the updated Terms.
